User Agreement and Terms of Service

Welcome to Unify. These Terms of Service ("Terms") are a legally binding agreement between you and VS-SoftSolutions. By accessing or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. Acceptance of Terms

By accessing or using the Service, you represent and warrant that you have read, understood, and agreed to these Terms and any policies referenced in these Terms, including the Privacy Policy and any posted billing rules. These Terms apply to all users, visitors, account holders, and any person or entity using the Service through an account, API, integration, or linked authentication provider. You further acknowledge that VS-SoftSolutions collects, stores, and processes personal data and usage information as described in the Privacy Policy, which is incorporated into these Terms by reference.

VS-SoftSolutions may revise, replace, or update these Terms at any time in its sole discretion. Updated Terms become effective when posted unless otherwise stated. Your continued use of the Service after an update is effective constitutes your acceptance of the updated Terms. If you do not agree to an update, your only remedy is to stop using the Service and cancel any active subscription.

2. Eligibility, Accounts, and Security

You must be at least 18 years old and legally capable of entering into binding agreements in your jurisdiction. You are responsible for all account activity under your credentials, including activity by authorized and unauthorized users, and for keeping your credentials secure and confidential.

You must provide accurate, current, and complete account information and keep it updated. You may not share accounts in a way that bypasses plan limits, payment obligations, anti-abuse controls, or platform restrictions. VS-SoftSolutions may require additional verification at any time for fraud prevention, security, or compliance purposes.

3. Service Scope and Third-Party Providers

The Service provides access to AI capabilities including, without limitation, text, image, video, audio, and related generation tools, as made available from time to time. The Service may rely on third-party providers, model partners, cloud services, payment processors, and infrastructure vendors. Features, model availability, quality, pricing, speed, and output behavior may change at any time without notice.

You acknowledge that AI-generated outputs are probabilistic and can be inaccurate, incomplete, biased, offensive, misleading, non-compliant, or otherwise unsuitable for your intended purpose. You are solely responsible for reviewing, validating, and deciding whether to use any output. VS-SoftSolutions does not guarantee output fitness, legal compliance, originality, or non-infringement.

4. Token Usage, Unlimited Generations, and Refund Policy

All purchases made through VS-SoftSolutions, including subscriptions, token packages, credits, and access to unlimited generation features, are subject to the following refund conditions. Section 4(e) applies in addition to, and prevails over, the rest of this section for consumers in the European Union and European Economic Area.

a) No Refund After Use

Except where otherwise required by mandatory applicable law, a purchase is no longer eligible for a refund once you have used any portion of the purchased Service. A Service is considered used as soon as any of the following occurs:

  • at least one (1) token, credit, or other usage unit has been consumed;
  • at least one (1) video, image, or other generation has been initiated using an unlimited generation feature;
  • computational resources have been allocated or consumed for a generation you requested;
  • any other paid generation, processing, rendering, or AI functionality included in the purchased plan has been used.

For the avoidance of doubt: if even one token has been used, the purchase is not eligible for a voluntary refund.

If even one generation has been initiated or completed under an unlimited generation plan, the purchase is not eligible for a voluntary refund.

This policy applies regardless of how much of the remaining subscription period, token balance, credit balance, or generation allowance remains unused.

b) Reason for This Policy

Generation requests immediately consume computational resources and create costs for VS-SoftSolutions and its infrastructure providers. For this reason, you are responsible for reviewing your selected subscription, package, pricing, and included features before using the Service.

Once tokens, credits, computational resources, or unlimited generations have been used, VS-SoftSolutions does not provide voluntary refunds, partial refunds, or prorated refunds for the remaining unused portion of the purchase. No voluntary refunds will be issued for dissatisfaction with outputs, non-use of credits, accidental purchases, misunderstood features, output quality concerns, temporary outages, model changes, account restrictions, anti-abuse actions, cancellation timing, subscription renewals, or billing-cycle misunderstandings.

c) Unused Purchases

VS-SoftSolutions may, at its discretion and subject to any separate refund policy communicated at the time of purchase, consider refund requests where:

  • no tokens or credits have been consumed;
  • no unlimited generation has been initiated;
  • no paid generation or processing feature has been used; and
  • the request otherwise satisfies the applicable refund conditions.

Any such refund is discretionary unless a refund is required by applicable law.

d) EU and EEA Right of Withdrawal (14 Days)

If you are a consumer resident in the European Union or European Economic Area, you have a statutory right to withdraw from your purchase within fourteen (14) days of concluding the contract, without giving any reason. This right exists independently of, and is not limited by, subsections (a) to (c) above.

Because the Service is digital content and digital services supplied immediately, you are asked at checkout to expressly request immediate performance and to acknowledge that you lose your right of withdrawal once performance has begun in the manner described below. You give that consent by ticking the required confirmation before payment is completed. VS-SoftSolutions records the wording, version, and time of that confirmation and provides confirmation of the contract on a durable medium.

Your right of withdrawal therefore ends as soon as you consume more than zero (0) paid tokens or credits, or initiate a generation under an unlimited generation feature. Until that moment, you may withdraw and receive a full refund of the amounts you paid, which will be issued without undue delay and in any event within fourteen (14) days of our receiving your withdrawal notice, using the same payment method you used for the purchase.

Once that point is reached, the right of withdrawal is lost in full and not in part. VS-SoftSolutions retains the entire amount you paid for the purchase concerned, and no refund, partial refund, prorated refund, or proportionate reimbursement is owed for the unused remainder of your subscription period, token balance, credit balance, or generation allowance. Consuming a single paid token or credit, or initiating a single generation under an unlimited generation feature, is sufficient to produce this result, however small a share of the purchase it represents.

Following your purchase, VS-SoftSolutions sends you an email confirming the contract, the exact wording of the consent you gave, and the point at which your right of withdrawal ends. Please retain that email; it is provided as confirmation on a durable medium.

To withdraw, send an unambiguous statement of your decision to unify.eth@gmail.com before the fourteen (14) day period expires, identifying the account and the purchase concerned. Sending the notice before the deadline is sufficient to meet it.

e) Statutory Consumer Rights

Nothing in this section excludes, limits, or overrides any mandatory statutory consumer rights that cannot legally be excluded or waived, including rights relating to services that are faulty, not as described, or not supplied.

Where you have a statutory right of withdrawal, cancellation, reimbursement, or other mandatory remedy under applicable law, that statutory right applies notwithstanding the voluntary refund restrictions described above. Where permitted by applicable law, VS-SoftSolutions reserves the right to account for Services, computational resources, or other performance already provided before a valid withdrawal or cancellation request.

5. Billing, Subscriptions, Credits, and Renewals

You may be offered subscription plans, pay-as-you-go credit purchases, or both. Subscription and billing terms, including recurring billing, billing cycle, trial behavior, taxes, discounts, and promotional eligibility, are determined by your selected checkout configuration and applicable payment processor terms at the time of purchase.

If your plan renews automatically, you authorize recurring charges until cancellation is effective. Cancellation may take effect at period end, immediately, or according to plan-specific logic displayed in the product at cancellation time. Credits may be granted, adjusted, expired, removed, or revoked according to plan rules, anti-fraud controls, failed-payment handling, or administrative correction.

If you cancel a subscription, you keep the credits already granted to you for billing periods you have paid for, and you may continue to spend them until they reach their normal expiry date under Section 6. What cancellation stops is future grants: no further monthly or daily subscription credits are issued for billing periods after the cancellation takes effect, and plan-specific benefits such as unlimited generation access end as described in the product at cancellation time. Credits granted under a promotional trial or introductory period may be withdrawn if you cancel during that trial or introductory period, and credits attributable to a refunded, reversed, or disputed payment may be removed under Section 7 and Section 15.

Any displayed or communicated credit or usage estimate is informational and may vary by model, feature, output length, resolution, provider-side behavior, and internal safety or quality controls. VS-SoftSolutions may update pricing, credit conversion, limits, and pack structures at any time, prospectively and, where required, with notice.

6. Credit Expiry, Access Limits, and Benefit Revocation

Credits may carry expiration windows, usage restrictions, source rules, and plan-specific limitations. Unused credits may expire without compensation. Promotional, trial, goodwill, daily, or bonus credits may have separate validity periods and may be revoked if abuse, fraud, duplicate account behavior, policy violations, or payment reversals are detected.

Access to certain features, models, or generation modes may depend on active subscription status, account standing, payment confirmation, anti-abuse checks, and operational limits. VS-SoftSolutions may limit, throttle, pause, or revoke access where necessary to protect platform integrity, legal compliance, provider requirements, or service continuity.

7. Chargebacks, Payment Disputes, and Fraud Controls

If you initiate a chargeback, payment dispute, reversal, or unauthorized payment claim for a valid charge, VS-SoftSolutions may suspend or terminate your account, revoke credits, and recover outstanding amounts, fees, losses, and reasonable administrative costs to the fullest extent permitted by law.

VS-SoftSolutions may use risk scoring, identity checks, transaction controls, and anti-abuse mechanisms to detect fraud and platform misuse. We reserve the right to block transactions, delay fulfillment, require verification, or deny service where fraud risk or policy breach is suspected.

8. Acceptable Use and Prohibited Conduct

You agree to use the Service in compliance with all applicable laws, regulations, and third-party terms. You may not use the Service to:

  • Violate law, regulation, sanctions, or third-party rights.
  • Generate or distribute illegal, fraudulent, deceptive, or abusive content.
  • Infringe intellectual property, privacy, publicity, or confidentiality rights.
  • Attempt to reverse engineer, probe, scrape, exploit, or disrupt systems or models.
  • Bypass usage limits, anti-abuse controls, or payment obligations.
  • Use automated methods that degrade service performance or reliability.

9. User Content and AI Output Responsibility

You are solely responsible for all prompts, files, instructions, media, and other content you submit to the Service ("Input"), and for any use of generated output ("Output"). You represent that you have all rights, permissions, and legal bases required to submit Input and to use Output.

The Service may process Input through third-party providers to deliver features. You must independently review Output before relying on it for legal, medical, financial, safety-critical, employment, compliance, or high-risk use cases. You assume all risk from your decisions and downstream use.

10. Suspension, Restriction, and Termination

VS-SoftSolutions may suspend, restrict, or terminate your access immediately, with or without notice, for suspected policy violations, payment failures, fraud indicators, legal risk, provider restrictions, security concerns, abusive usage, or operational necessity. We may also remove or disable content where required.

Upon termination by VS-SoftSolutions under this section, your right to use the Service ceases immediately. Any remaining credits, unused subscription value, promotional grants, or pending features are forfeited and are not refundable except where required by non-waivable law. This section governs termination by VS-SoftSolutions; it does not apply where you simply cancel a subscription yourself, which is governed by Section 5.

11. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, OR NON-INFRINGEMENT. VS-SoftSolutions does not warrant uninterrupted service, error-free operation, specific model availability, or guaranteed performance.

No statement, documentation, support response, roadmap, estimate, or marketing material creates a warranty or binding commitment unless explicitly stated in a signed agreement by an authorized representative of VS-SoftSolutions.

12. Limitation of Liability

To the fullest extent permitted by law, VS-SoftSolutions and its affiliates, officers, directors, employees, contractors, licensors, and suppliers are not liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, goodwill, data, business opportunity, or interruption, arising from or related to your use of the Service.

To the fullest extent permitted by law, the total aggregate liability of VS-SoftSolutions for all claims related to the Service shall not exceed the total amount paid by you to VS-SoftSolutions for the Service in the three (3) months preceding the event giving rise to the claim.

13. Indemnification

You agree to indemnify, defend, and hold harmless VS-SoftSolutions and its affiliates, officers, directors, employees, contractors, and agents from and against any claims, liabilities, losses, damages, costs, and expenses (including reasonable legal fees) arising out of or related to: (a) your use or misuse of the Service, (b) your Input or Output use, (c) your violation of these Terms, or (d) your violation of law or third-party rights.

14. Governing Law and Dispute Resolution

These Terms are governed exclusively by the laws of the Federal Republic of Germany, excluding conflict-of-laws rules. To the extent permitted by law, exclusive jurisdiction and venue for disputes arising out of or in connection with these Terms or the Service shall be the registered office of VS-SoftSolutions.

Where mandatory consumer law provides otherwise, those mandatory rights remain unaffected. If applicable law requires or permits consumer arbitration participation, such processes may be used as provided by statute.

15. Credit Balance Adjustments

VS-SoftSolutions reserves the right, at its sole and absolute discretion, to adjust your credit balance at any time, with or without prior notice, under the following circumstances:

a) Deductions for Prohibited or Inappropriate Conduct

If VS-SoftSolutions determines, in its sole discretion, that you have engaged in conduct that violates these Terms, the Acceptable Use Policy, applicable law, or any behavioral guidelines published on the platform, including but not limited to abusive, harassing, hateful, fraudulent, deceptive, obscene, exploitative, or otherwise inappropriate behavior directed at the Service, its staff, other users, or third parties, VS-SoftSolutions may deduct credits or other account balances as a remedial or disciplinary measure, in addition to and without prejudice to any other rights and remedies available under these Terms or at law (including suspension, termination, and legal action).

Such deductions shall be proportionate to the severity and frequency of the violation as reasonably determined by VS-SoftSolutions. The determination of what constitutes inappropriate behavior is at the sole discretion of VS-SoftSolutions and is final and binding.

b) Credits for Platform Errors and Miscalculations

In the event that a technical error, billing miscalculation, system malfunction, or other platform-side defect results in an incorrect deduction of credits from your account, VS-SoftSolutions reserves the right to credit, restore, or otherwise adjust your balance to correct the error. Such corrections may be applied retroactively and without individual notice.

VS-SoftSolutions is under no obligation to identify or correct every error automatically. If you believe your balance has been affected by a platform error, you must notify us in writing at the contact address provided below within thirty (30) days of the alleged error. Failure to report a suspected error within this period constitutes a waiver of any claim related to that adjustment.

c) General Adjustment Rights

VS-SoftSolutions may additionally adjust credit balances to comply with legal or regulatory requirements, enforce anti-fraud or anti-abuse controls, correct duplicate grants, resolve payment processing discrepancies, or maintain system integrity. All balance adjustments are made without liability to VS-SoftSolutions except where prohibited by non-waivable law.

By continuing to use the Service, you acknowledge and consent to the adjustment rights described in this section. Credit balances do not constitute currency, stored value, property, or any form of legally enforceable entitlement except to the extent expressly required by applicable law.

d) Suspicious Payment Activity and Fraudulently Funded Balances

If VS-SoftSolutions determines, in its sole reasonable discretion, that any credits in your account were funded, directly or indirectly, through suspicious, unauthorized, or fraudulent payment activity — including but not limited to the use of stolen, compromised, or unauthorized payment credentials; disputed or reversed transactions indicative of card fraud; identity theft; or any payment that triggers a fraud alert from our payment processor or financial institution — VS-SoftSolutions reserves the right to immediately and without prior notice deduct, freeze, or permanently revoke the credits associated with or attributable to such payment.

This right applies regardless of whether a chargeback or formal dispute has been filed, and regardless of whether you personally initiated or were aware of the fraudulent payment. VS-SoftSolutions may take this action as a precautionary measure to protect the integrity of the platform, comply with applicable financial regulations, and safeguard legitimate users and payment network obligations. Deductions under this subsection do not entitle you to any refund, compensation, or restoration of balance, except where non-waivable law requires otherwise.

If you believe a deduction under this subsection was made in error, you must contact us in writing at the address below within fourteen (14) days of the action, providing sufficient evidence to support your claim. VS-SoftSolutions will review such requests in good faith but is under no obligation to reverse a deduction unless it determines, at its sole discretion, that the deduction was made in clear error.
